1. Acceptance of Terms
Your use of the Franchise Atlas Platform constitutes your binding acceptance of these Terms, including any modifications IFPG may make in its sole discretion. IFPG reserves the right to update these Terms at any time. Changes become effective upon posting. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. We recommend reviewing these Terms at least monthly.
2. Description of Service
Franchise Atlas is a customer relationship management and client communication platform designed for IFPG franchise consultants. The Platform enables consultants to organize and manage their franchise candidates, track interactions, and streamline their consultancy workflows. The Platform is provided exclusively to authorized IFPG members and their designated users.
3. Account Registration and Google Sign-In
3.1 Account Creation
Access to Franchise Atlas requires account registration. You agree to provide accurate, complete, and current information during registration and to keep your account information updated at all times.
3.2 Google Sign-In
Franchise Atlas uses Google Sign-In (OAuth 2.0) as the authentication method. By signing in with your Google account, you authorize Franchise Atlas to access limited profile information from your Google account, including your name, email address, and profile picture. You are responsible for maintaining the security of your Google account. IFPG is not responsible for unauthorized access resulting from compromised Google account credentials.
3.3 Account Responsibility
You are solely responsible for all activities that occur under your account. Sharing your login credentials or granting unauthorized access to the Platform is a direct breach of these Terms and may result in immediate suspension or termination of access. Any unauthorized use of your account must be reported to IFPG immediately.
4. IFPG Membership Requirement
Franchise Atlas is available to active IFPG members in good standing. Your right to access the Platform is contingent upon maintaining a valid IFPG membership. Upon termination of your IFPG membership for any reason, your access to Franchise Atlas will cease. IFPG reserves the right to terminate or suspend Platform access at any time, without notice, for any breach of these Terms or violation of IFPG membership policies.
5. Authorized Use and Conduct
5.1 Permitted Use
You may use Franchise Atlas solely for lawful purposes related to your franchise consultancy business as an authorized IFPG member. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform in compliance with these Terms.
5.2 Prohibited Conduct
You agree not to use the Platform to:
- Post, transmit, or store any unlawful, offensive, defamatory, threatening, or fraudulent content
- Reverse engineer, decompile, or attempt to extract the Platform's source code
- Distribute malware, spyware, or other harmful code
- Impersonate any person or entity, or misrepresent your affiliation
- Scrape, harvest, or systematically collect data from the Platform without authorization
- Use the Platform for any purpose that violates applicable local, state, federal, or international law
- Share, sublicense, or resell access to the Platform to third parties
- Use external or unauthorized tools for submissions that IFPG designates must be made through the Platform
6. User-Submitted Content
6.1 Your Responsibility
You are solely responsible for all data, content, and information you enter, upload, or transmit through the Platform ("User Content"), including candidate and customer data. IFPG does not review User Content for accuracy and makes no representations or warranties regarding it.
6.2 License Grant
By submitting User Content to the Platform, you grant IFPG a limited, non-exclusive license to store, process, and display that content solely as necessary to provide and operate the Platform. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party rights.
6.3 Prohibited Content
You may not submit content that is illegal, defamatory, obscene, fraudulent, or that infringes upon the intellectual property or privacy rights of any third party.
7. Intellectual Property
Franchise Atlas, and all content, features, and functionality within it (including but not limited to software, design, text, graphics, and logos), are the exclusive property of IFPG LLC and are protected by applicable copyright, trademark, and intellectual property laws. IFPG's name, trademarks, service marks, and logos may not be used without prior written consent. Nothing in these Terms grants you ownership or any intellectual property rights in the Platform.
8. Pricing, Billing, and Cancellation
Access to Franchise Atlas is provided as part of your IFPG membership or as a separately priced subscription, as applicable. IFPG reserves the right to modify pricing at any time. Where feasible, IFPG will provide advance email notice of pricing changes. Your continued use of the Platform following a price change constitutes acceptance of the new pricing. Cancellations must be made in accordance with IFPG's membership cancellation policy. Fees paid are non-refundable unless otherwise required by applicable law.
9. Disclaimers and Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. IFPG MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. IFPG DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IFPG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE PLATFORM, EVEN IF IFPG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL IFPG'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO IFPG IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR FIVE HUNDRED DOLLARS ($500.00), WHICHEVER IS LESS. IF YOU HAVE PAID NO AMOUNTS, YOUR SOLE REMEDY IS TO DISCONTINUE USE OF THE PLATFORM AND CANCEL YOUR ACCOUNT.
11. Indemnification
You agree to indemnify, defend, and hold harmless IFPG LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
12. Modifications and Termination of Service
IFPG reserves the right to modify, suspend, or discontinue the Platform, or any feature thereof, at any time without notice or liability. IFPG may also terminate or restrict your access to the Platform at any time, without notice, for any reason, including breach of these Terms or termination of IFPG membership.
13. Dispute Resolution and Arbitration
13.1 Informal Resolution
Before initiating any formal proceeding, you agree to contact IFPG in writing and attempt to resolve the dispute informally for at least 30 days. Written notices should be sent to: IFPG LLC, 499 Ernston Road, Suite B9, Parlin, NJ 08859.
13.2 Binding Arbitration
If informal resolution fails, any claim arising from or related to these Terms or the Platform will be resolved through binding arbitration administered by the American Arbitration Association (AAA), held exclusively in Middlesex County, New Jersey. You agree to arbitrate claims only in your individual capacity. Class actions and class arbitrations are not permitted. The arbitrator's decision shall be binding and may be entered as a judgment in any court of competent jurisdiction.
13.3 Governing Law
These Terms are governed by and construed under the laws of the State of New Jersey, without regard to conflict of laws principles. IFPG may, at its sole discretion, elect to resolve any dispute in a State or Federal Court of New Jersey, Middlesex County, in lieu of arbitration.
14. Copyright Infringement
If you believe your copyrighted work has been used on the Platform without authorization, please submit a DMCA notice to:

Your notice must include: a description of the copyrighted work; the URL where the infringing material appears; your contact information; a good-faith statement that the use is unauthorized; and your electronic or physical signature.
15. Wire Transfer and Financial Fraud Warning
Email hacking and wire fraud are on the rise. Prior to sending any wire transfer related to any transaction facilitated through the Platform, you must independently verify the recipient's identity through direct voice contact. IFPG shall not be responsible for any losses arising from wire fraud or misdirected funds. By using the Platform to interact with other consultants, franchisors, or candidates, you specifically waive any and all claims against IFPG related to wire or financial fraud.
16. SMS/Text Message Communications
By registering for Franchise Atlas, you agree to receive SMS/text messages related to your account and the Platform. Standard carrier data rates may apply. You may opt out at any time by contacting [email protected].
17. Entire Agreement
These Terms, together with the IFPG Privacy Policy and any applicable membership agreements, constitute the entire agreement between you and IFPG regarding the Platform and supersede all prior written or oral agreements. If any provision of these Terms is found unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect.
